NAGBABALA kahapon ang Securities and Exchange Commission (SEC) laban sa isang perfume invest-ment scheme, na nangangako ng 400% return sa ilalim ng ‘buy and earn’ program.

Sa isang advisory, sinabi ng SEC na ang Scentko World Corp. at ang parent firm nito na Brendahl Cruz Holdings Inc. ay wa-lang secondary license upang mangalap ng investments mula sa publiko.

“In view thereof, the public is hereby advised to exercise caution in dealing with any indivi­duals or group of persons soliciting investments or recruiting investors for and on behalf of Scentko and Bren-dahl Cruz Holdings,” nakasaad sa advisory.

“The public is further advised not to invest or stop investing in any investment scheme being offered by Scentko and Brendahl Cruz Holdings,” dagdag pa nito.

Sa ilalim ng investment scheme ng Scentko, hinihikayat ng kompanya ang publiko na bumili ng pabango at beauty pro­ducts kapalit ng ‘cash sales rewards’ na may katumbas na 400%  ng purchase price.

Ayon sa SEC, halimbawa ay pinangangakuan ang isang miyembro ng return na P20,000 sa pagbili lamang ng isang package na nagkakahalaga ng P5,000.

“A member may receive the promised return in more or less than 30 days, without having to resell the products, depending on how soon Scentko can recruit new members. Accordingly, the company en-courages its members to recruit,” pahayag ng corporate regulator.

Bukod sa cash sales rewards, ang Scentko ay nangangako rin ng referral fee na katumbas ng 10%  ng halaga na ipinuhunan ng bagong miyembro.

Ang Scentko at Brendahl Cruz Holdings ay mga rehistradong korporasyon.

“However, the issuance of a certificate of incorporation only grants an entity a juridical personality and does not constitute an authority to engage in activities requiring a secondary license from the SEC, such as selling and offering securities.”

Sa ilalim ng Section 8 ng Republic Act 8799, o ang Securities Regulation Code, ang securities tulad ng investment contracts ay hindi dapat ibenta nang walang registration na inihain at inaprubahan ng Commission.

“Section 28 further states that no person shall engage in the business of buying or selling securities in the Philippines as a bro-ker or dealer, or act as a salesman, or an associated person of any broker or dealer unless registered with the SEC.”

Kaugnay nito, ang mga umaaktong salesman, broker o agent ng Scentko at Brendahl Cruz Holdings ay maaaring pagmultahin ng hanggang P5 million o makulong ng 21 taon o pareho, alinsunod sa Section 73 ng Securities Regulation Code.

Ang Scentko at Brendahl Cruz Holdings ay nadagdag sa 42 investment schemes na naunang  binalaan ng SEC ngayong taon.
